PROVIDER ENGAGEMENT CONTRACT
1. DEFINITIONS
- Provider: A practitioner in any healthcare field, therapist, or certified coach approved to offer or promote services through our website and/or mobile application. This agreement applies to all such independent contractors.
- Client:
- B2B: Companies engaging MantraCare for wellness and health solutions for their employees as part of corporate programs.
- B2C: Individuals receiving personalized health and wellness services.
- Content: Any material, links, words, and images, including but not limited to goods/services, publications, responses to questions, and Provider details submitted, advertised, or linked to the website.
- Services: Services including therapy, coaching, yoga, fitness and diet consultation, or other services as specified on https://mantra.care
- Website: https://mantracare.org/
- We/Our/Us: MantraCare, including its directors, officers, employees, and contractors.
2. ACCEPTANCE OF TERMS
By using the website, Providers agree to the Website’s Terms of Use and these Terms of Service. Providers must review these terms carefully before proceeding. If a Provider does not agree, they must not place a directory listing or offer services on MantraCare.org or its affiliated websites. 3. BASIC LISTING SERVICE
- MantraCare Practice Directory: Allows Providers to advertise their services (e.g., mental health, counseling, yoga, physiotherapy, consulting) to potential clients.
- Payment Terms:
- The listing is free; however, MantraCare may charge a platform service fee of 5-10% for payments processed through the platform. The exact percentage will be communicated in advance.
- MantraCare reserves the right to revise rates and terms with prior email notification.
- Cancellations/ Removal:
- Providers may cancel their subscriptions at any time by emailing MantraCare.
- No refunds or prorated amounts will be issued for early cancellations.
- Provider has an option to temporarily hide their profile using this link: XXX
- Provider can also permanently archive their profile using the delete option: XXXX
- MantraCare shall not be eligible to make any payments to the provider once they delete their profile
- Payment Policy:
- MantraCare does not store credit card information.
- In case of declined transactions, the system will retry daily.
- An invoice will be sent for outstanding dues.
4. PREMIUM PROVIDERS
Additional Terms for Premium Providers:
- Service Requirements
- Providers shall perform services under MantraCare’s direction.
- Self-promotion and solicitation outside of the MantraCare platform are strictly prohibited.
- Providers must adhere to their committed session hours and demonstrate professionalism at all times.
- MantraCare reserves the right to cancel sessions or withhold payment in cases of repeated tardiness, missed sessions, or unprofessional behavior.
- Client feedback will be collected by MantraCare.
- Client Intake
- All client interactions must be processed through MantraCare’s intake procedures.
- Sessions must be conducted exclusively via the MantraCare Partner App.
- Fees and Payment
- Providers may accept or reject session requests based on MantraCare’s pre-approved pricing schedule.
- Payments will be processed monthly and issued before the 15th of the following month.
- Providers must provide a valid payment method (limited to Paytm, Stripe, or TransferWise). MantraCare is not responsible for payment delays due to incorrect or missing payment details.
- Confidentiality
- Providers must maintain strict client confidentiality at all times.
- Providers may not disclose confidential information about MantraCare, its employees, or clients without prior written authorization.
- All materials, including manuals, records, and client files, must be safeguarded.
- Confidentiality obligations remain in effect after the termination of this Agreement.
- Non-Solicitation
For 24 months following termination, Providers shall not:
- Solicit MantraCare clients or employees.
- Engage with MantraCare clients outside the platform.
- Share personal contact details with clients.
Penalty for Violation: A fixed penalty of $5,000 USD or 10 times the lost revenue, whichever is higher, will be imposed for violations. This amount may be deducted from pending payments.
5. EMERGENCY CASES AND LIABILITY
- Suicidal Cases:
- If a client is identified as at risk of suicide, the Provider must assist the client in connecting with local suicide prevention hotlines or emergency services.
- The Provider must report the case to MantraCare for documentation.
- Limitation of Liability:
- MantraCare is not liable for any harm, injury, or adverse outcomes arising from Provider-client interactions.
6. WEBINAR & SEMINAR TERMS
- Self-promotion is strictly prohibited. Providers may not share personal contact details (e.g., phone, email, social media) with the audience.
- Fees: Unless otherwise agreed in writing, the quoted fee includes all travel and related expenses.
- Payment Processing: Payments will be processed on the 15th of the following month after event completion.
- Cancellation Policy: Providers must provide at least 24 hours’ notice for session cancellations.
7. CANCELLATION AND REFUND POLICY
- If a Provider fails to attend a session, is late by more than 5 minutes, or acts unprofessionally, they will forfeit payment, and the client will receive a refund.
8. ACCOUNT INTEGRITY
- Providers must ensure their registration details are accurate and up to date.
- Providers are responsible for maintaining the confidentiality of their account credentials.
9. LEGAL CONSIDERATIONS
- A. Jurisdiction: This Agreement shall be governed by the laws of Delaware, United States.
- B. Arbitration Clause:
- Any disputes shall first be resolved through mediation.
- If unresolved, disputes shall be settled via arbitration in Delaware, USA.
- C. Severability: If any provision is deemed invalid, the remaining provisions shall remain in effect.
- D. Entire Agreement:
- This Agreement constitutes the entire agreement between MantraCare and the Provider, superseding prior agreements.
- Amendments must be executed in writing and signed by both parties.
Acknowledgment and Agreement By signing below, the Provider acknowledges that they have read, understood, and agreed to abide by the terms outlined in this Provider Engagement Contract.
